MINIMUM CAPITAL AMOUNTS HAVE BEEN INCREASED.

With the Presidential Decree No. 7887 (the “Decree”) published in the Official Gazette dated 25 November 2023, the minimum capital requirements of joint stock companies and limited liability companies have been increased as follows:

  • Joint Stock Companies: From TRY 50,000 to TRY 250,000,
  • Initial Capital of Joint Stock Companies (Non-Public) Which Have Adopted the Registered Capital System: From TRY 100,000 to TRY 500,000, and
  • Limited Liability Companies: From TRY 10,000 to TRY 50,000.

The relevant amounts will be effective as of 01 January 2024 and will be applied to joint stock and limited liability companies to be established after this date.
Although the Decree does not stipulate an obligation to increase capital for companies whose current capital is below the minimum amounts, the Ministry of Trade, with its announcement dated 27 November 2023, recommended that these companies make the relevant increases in order to strengthen their equity structure.
